1. About KIHMT Tech Labs

KIHMT Tech Labs is a venture of KIHMT Skills Pvt Ltd. We provide technology and digital solutions including website development, web applications, custom software, AI solutions, automation, API integration, digital platforms, deployment and related technology services.

2. Acceptance of Terms

By accessing this website, submitting an enquiry, requesting a quotation, entering into a project, making a payment, or using any service provided by KIHMT Tech Labs, you acknowledge that you have read, understood and agreed to these Terms & Conditions.

If you do not agree with these Terms, you should not use our website or engage our services.

3. Services and Project Scope

All services are provided according to the scope, requirements, deliverables, timelines and commercial terms agreed between the parties.

Any feature, functionality, integration, revision, content, design element or technical requirement that is not expressly included in the agreed scope may be treated as additional work and may be subject to additional charges and revised timelines.

Verbal discussions or informal communications shall not automatically constitute a change to the agreed project scope unless confirmed by the authorised parties.

4. Quotations and Commercial Terms

Project quotations and estimates are based on the requirements known at the time of estimation and may change where requirements, scope, third-party costs, technical conditions or implementation requirements change.

Unless otherwise agreed in writing, taxes, third-party subscriptions, hosting, domain registration, paid APIs, software licences, payment gateway charges and other external costs are separate from development charges.

A quotation does not constitute a binding obligation to commence work until the project is formally accepted and the applicable commercial terms are agreed.

5. Payments

Where advance payment, milestone payments or other payment schedules are agreed, the client is responsible for making payments within the agreed timelines.

KIHMT Tech Labs may pause development, delivery, deployment, access or support where an undisputed payment remains overdue.

Work already completed, committed third-party costs and approved project expenses may remain payable even if a project is subsequently paused or discontinued by the client.

6. Client Responsibilities

The client is responsible for providing accurate, complete and timely information, content, credentials, approvals, access and materials reasonably required for the project.

Delays caused by missing information, delayed approvals, changes in requirements, unavailable third-party services or other matters outside our reasonable control may result in corresponding changes to delivery timelines.

7. Changes and Revisions

Reasonable revisions included in the agreed scope will be handled according to the project agreement.

Requests that materially change the approved design, functionality, architecture, workflow or technical scope may be treated as change requests and may require additional fees and delivery time.

8. Intellectual Property

Unless otherwise agreed in writing, KIHMT Tech Labs retains ownership of its pre-existing frameworks, libraries, reusable components, development methods, templates, tools, know-how, processes and general technical concepts used in delivering services.

Where a project specifically provides for transfer of custom-developed deliverables to the client, such transfer will occur only after all applicable project payments have been received in full and subject to the agreed scope.

Third-party software, libraries, APIs, fonts, plugins, platforms and other components remain subject to their respective licences and terms.

9. Client Content and Materials

The client represents that it has the necessary rights, permissions and licences to provide any text, images, logos, trademarks, databases, documents, software, data or other materials supplied to us.

The client remains responsible for claims arising from content or materials supplied by the client that infringe the rights of any third party or violate applicable law.

10. Third-Party Services and Integrations

Projects may depend on third-party services such as hosting providers, domain registrars, APIs, payment gateways, cloud platforms, messaging services, analytics providers or other external systems.

KIHMT Tech Labs does not guarantee the uninterrupted availability, pricing, policies, security, functionality or continued operation of third-party services.

Changes, outages, restrictions or discontinuation by third-party providers may require technical modifications, additional costs or alternative solutions.

11. AI and Automated Technologies

Where AI or automated technologies are incorporated into a project, outputs may depend on the underlying models, datasets, prompts, third-party platforms and available information.

AI-generated or automated outputs should be reviewed by the client where accuracy, compliance, financial, commercial, legal or other consequential decisions are involved.

12. Website Availability

We aim to keep our website and services available and functional, but we do not guarantee uninterrupted, error-free or continuous availability.

The website may occasionally be unavailable due to maintenance, upgrades, hosting issues, security measures, technical failures or circumstances outside our reasonable control.

13. Prohibited Use

You must not use our website or services for unlawful, fraudulent, abusive, malicious or unauthorised purposes.

• Attempting to gain unauthorised access to systems or accounts.
• Introducing malicious code, malware or harmful software.
• Using our services to violate applicable law or third-party rights.
• Misusing APIs, systems, hosting resources or other technology services.
• Attempting to interfere with the security or operation of our website or infrastructure.

14. Confidentiality

Each party may receive confidential information from the other party in connection with a project. Such information should be used only for the relevant business purpose and should not be disclosed to unauthorised persons except where disclosure is required by law or otherwise permitted.

15. Security

We apply reasonable technical and organisational measures appropriate to the services being provided. However, no internet-connected system, software, hosting environment or transmission method can be guaranteed to be completely secure.

Clients are responsible for maintaining appropriate security of their own accounts, passwords, credentials and systems.

16. Suspension and Termination

KIHMT Tech Labs may suspend or terminate access to a service where reasonably necessary due to non-payment, misuse, unlawful activity, security concerns, breach of these Terms or other material contractual violations.

Either party may terminate a project in accordance with the applicable project agreement. Termination does not automatically cancel payment obligations for work already performed or costs already incurred.

17. Limitation of Liability

To the maximum extent permitted by applicable law, KIHMT Tech Labs shall not be liable for indirect, incidental, special, consequential or loss-of-profit damages arising from the use of our website, services, software or third-party services.

To the maximum extent permitted by applicable law, our aggregate liability arising from a specific project or service shall not exceed the amount actually paid to KIHMT Tech Labs for that particular project or service during the applicable period, except where such limitation is prohibited by law.

18. Indemnification

To the extent permitted by applicable law, the client agrees to indemnify and hold harmless KIHMT Tech Labs, KIHMT Skills Pvt Ltd and their respective personnel from claims, losses, liabilities, damages, costs or expenses arising from the client's unlawful use of the services, breach of these Terms, infringement of third-party rights, or materials and instructions supplied by the client.

19. Force Majeure

We shall not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, war, governmental actions, internet or infrastructure failures, major cybersecurity incidents, pandemics, labour disruptions, third-party outages or other comparable events.

20. Portfolio and Marketing Rights

Unless otherwise agreed in writing, KIHMT Tech Labs may identify completed work or non-confidential project information in its portfolio, credentials or marketing materials.

Confidential information, private credentials and restricted client information will not be intentionally published for marketing purposes.

21. No Professional Advice

Information published on this website is provided for general informational purposes and does not constitute legal, financial, tax, investment, medical or other professional advice.

22. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes in our services, technology, business practices or applicable legal requirements.

The updated version will become effective when published on this page unless a different effective date is stated.

23. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the applicable laws of India.

Subject to any mandatory dispute-resolution requirements applicable to the parties, courts having appropriate jurisdiction in India shall have jurisdiction over disputes arising from these Terms or the relevant services.

24. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable, that provision shall be modified or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
